1. Agreement to these terms
These Terms of Service ("Terms") are an agreement between Manage Your Building LLC, a New York limited liability company ("Manage Your Building," "we," "us"), and the person or organization using Building Matrix ("you"). By creating an account, starting a subscription, or using the service, you agree to these Terms. If you accept on behalf of a building, board, managing agent or company, you confirm you are authorized to bind it.
2. The service
Building Matrix is a web application that helps building staff record, find, label and verify shutoff valves, risers, electrical panels and related building systems (the "Service"). Features include a shutoff finder, Emergency Mode, walk-through surveys, printable QR valve tags, a water damage mitigation plan, offline access, and optional links to other applications. We may add, change or remove features over time. We will not materially reduce the core features of a paid plan during a paid term without notice.
3. Accounts and users
You must provide accurate account information and keep login credentials secure. You are responsible for all activity under your accounts, including activity on shared front desk stations. Administrators you designate control which users can access which buildings. You must be at least 18 years old to use the Service. Notify us promptly at info@manageyourbuilding.com of any unauthorized use.
4. Fees, setup fee and billing
- Setup fee. Each building requires a one-time setup fee, stated on your order form or at checkout. Setup may include importing your existing records, an on-site walk-through, and printed valve tags as described in your order.
- Setup fee is non-refundable. The setup fee is earned when paid and is not refundable for any reason, including cancellation, except where the law requires otherwise.
- Subscription. The monthly subscription price takes effect after the setup fee is paid. Subscriptions are billed in advance each month through our payment processor until canceled.
- Taxes. Prices exclude applicable taxes, which you are responsible for.
- Price changes. We may change subscription prices with at least 30 days' notice. A change applies from your next billing period after the notice period.
- Late payment. If a payment fails, we may suspend access after notice until it is resolved.
5. Cancellation
You may cancel your subscription at any time from your account or by emailing info@manageyourbuilding.com. Cancellation takes effect at the end of the current billing period, and you keep access until then. We do not issue prorated refunds for partial months. The setup fee is not refunded. After cancellation, you may export your building records for 30 days, after which we may delete them as described in Section 9.
6. Emergencies and safety
Building Matrix is not an emergency service and does not replace 911, the fire department, utility companies, or licensed professionals. In any situation involving fire, gas, electrical hazard, flooding near electrical equipment, or risk to people, call 911 first.
- The Service is a reference tool. It does not detect leaks, monitor buildings, or operate any equipment.
- Only trained, authorized people should operate valves, breakers or other building equipment, following applicable codes, building procedures and manufacturer instructions.
- Closing a fire sprinkler valve can leave an area unprotected. Follow your building's impairment procedures and notify the appropriate parties.
- The Service may be unavailable at times, including when a device has no connection. Offline access depends on information previously saved to that device, which may be out of date.
7. AI features
Some features use artificial intelligence to extract information from documents or to suggest steps. AI output can be incomplete or wrong. Review imported records before relying on them, and treat suggested steps as guidance to be checked against the building's actual conditions and procedures. You are responsible for decisions made using AI output.
8. Information provided by others; condition of equipment
Information provided by others. The records in the Service come from you, your staff, prior staff, owners, contractors, vendors, linked applications, and the valve charts, drawings, schedules and other documents you upload or that others provided to you. We do not create, review or verify that information, and we are not responsible for its accuracy, completeness or currency.
Valve charts and drawings. We make no representation that any valve chart, riser diagram, panel schedule, drawing or other document is accurate, complete or reflects current conditions. Buildings change through renovations, repairs and replacements, and documents are often out of date. Information extracted from those documents, including by AI, carries the same limits.
Condition of valves and equipment. We do not inspect, test, maintain or repair any valve, breaker, panel or other building equipment, and we assume no responsibility for its condition, location, labeling, operability or what it serves. A valve may be seized, leaking, inaccessible, mislabeled or fail to stop flow when closed, and a record in the Service does not mean the equipment works.
Verification. Verification stamps record only that a user marked a component as confirmed on a date; they are not our inspection or certification. You are responsible for keeping records accurate, re-verifying components periodically, and having equipment inspected and maintained by qualified people. Documents generated by the Service, such as a water damage mitigation plan, reflect your records and do not guarantee any insurance coverage, premium, discount or regulatory compliance.
9. Your data
You own the records, photos and documents you put into the Service ("Customer Data"). You give us permission to host, process, back up and display Customer Data only to provide and improve the Service, and as described in our Privacy Policy. We do not sell Customer Data. You confirm you have the right to upload what you provide, including photos taken in the building. You may export your records while your subscription is active and for 30 days after it ends; after that we may delete them, except copies kept in backups for a limited time or as the law requires.
10. Public tag access
An administrator may choose to let anyone who scans a building's QR valve tag see limited information about that valve without signing in, such as its location, shutoff notes, photo and emergency phone numbers. This setting is off by default. If you turn it on, you are responsible for deciding that this information is appropriate to share with anyone who has physical access to the tag.
11. Third-party services and Tower Check
The Service relies on third parties, including our hosting platform and our payment processor, Stripe, whose terms also apply to payments. If you link Building Matrix with Tower Check or another application, you authorize us to exchange the relevant records between them, such as valve details, verification dates and photos. Each linked application is governed by its own terms. We are not responsible for third-party services we do not control.
12. Acceptable use
You agree not to:
- access buildings or records you are not authorized to access;
- upload unlawful content, malware, or material you have no right to share;
- interfere with, probe or overload the Service, or bypass its security or access controls;
- copy, resell or build a competing product from the Service; or
- use the Service in a way that endangers people or property.
We may suspend access that violates this section, with notice where practical.
13. Intellectual property
We and our licensors own the Service, including its software, design, tag layouts, documentation and trademarks. These Terms give you a limited, non-exclusive, non-transferable right to use the Service during your subscription. Printed valve tags and generated documents may be used for your buildings during and after your subscription.
14. Feedback
If you send us suggestions or ideas, we may use them without obligation to you.
15. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR AVAILABLE OFFLINE, OR THAT ANY RECORD, AI OUTPUT OR GENERATED DOCUMENT IS ACCURATE OR COMPLETE.
16. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW: (a) WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR PROPERTY DAMAGE, WATER DAMAGE, LOST PROFITS, OR LOSS OF DATA OR USE, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THEIR POSSIBILITY; AND (b) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
17. Indemnification
You will defend and indemnify us against third-party claims arising from your Customer Data, your use of the Service, actions taken in your buildings, or your breach of these Terms, except to the extent caused by our own breach of these Terms.
18. Suspension and termination
We may suspend or terminate access for non-payment after notice, for a material breach that is not cured within 15 days of notice, or immediately where needed to prevent harm or comply with law. You may stop using the Service and cancel at any time under Section 5. Sections 4 (as to amounts owed and the non-refundable setup fee), 8, 9, and 13 through 22 survive termination.
19. Governing law and disputes
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Any dispute will be brought exclusively in the state or federal courts located in New York County, New York, and both parties consent to that jurisdiction. Before filing a claim, each party agrees to try to resolve the dispute informally for 30 days after written notice.
20. Changes to these terms
We may update these Terms. For material changes, we will notify account administrators by email or in the app at least 30 days before they take effect. Continued use after that date means you accept the updated Terms; if you don't, you may cancel under Section 5.
21. General
These Terms, together with any order form and our Privacy Policy, are the entire agreement between us about the Service. If an order form conflicts with these Terms, the order form controls for that order. If any provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.
